What is a Periodic Report?

Colorado State law requires that corporations and limited liability companies conducting business in Colorado submit a Periodic Report each year to the Colorado Secretary of State. Submitting a Periodic Report maintains the "Good Standing" of the corporation or LLC with the Colorado Secretary of State. The filing fee for a Periodic Report is currently $10.

If you do not file a Periodic Report in a timely manner, your status will be changed from "Good Standing" to "Noncompliant" and the Secretary of State will mail a postcard notice to your registered agent and your principal office address notifying you that you have 60 days to file your Periodic Report or your status will be changed to "Delinquent".

If your status becomes "Delinquent", a Statement Curing Delinquency must be submitted, together with the payment of late filing fees, in order to return your status to "Good Standing".

Why should you ask us to file your Periodic Report?

  • You prefer to spend your time and attention building your business. Compliance requirements can be both time- and labor-intensive, and many businesses prefer to have an outside source take care of them.
  • You want to avoid the risk of non-compliance and showing up on the records of the Secretary of State as "Noncompliant" or "Delinquent. Compliance matters are not likely to be your area of expertise, or interest. As your compliance partner, we will help you stay in compliance, avoid unnecessary late penalty fees, and maintain your company's good standing in Colorado.
  • Currently, the Colorado Secretary of State provides post card notification of the Periodic Report filing date.  The postcards are mailed three months prior to the filing date.  Often clients don’t attach any urgency to the required filing and put off completing it.  As a result, sometimes the postcard is misplaced and the filing date missed ,
  • The Colorado Secretary of State is continually changing its policies, procedures and forms. Beginning January 1, 2012, the Secretary of State plans to eliminate the postcard notifications and go to e-mail notifications. The Secretary of State has not yet determined how it will make the transition to e-mail notifications. We will be staying abreast of the transition in order to assure you that it will be as seamless as possible for you.
