Registered Agent Services

Colorado State law requires corporations and limited liability companies conducting business in Colorado to appoint and maintain a registered agent within the State of Colorado. The registered agent's name and office address are filed with the Colorado Secretary of State and thus of public record. The registered agent is the business's agent for accepting service of process (notice of litigation) and for accepting notifications from the Colorado Secretary of State, such as the Periodic Report notification.

What is Service of Process?

Service of process is the legal term for the delivery of copies of legal documents such as summons, complaints, subpoenas, orders to show cause, writs and certain other documents.

What do we provide when acting as a Registered Agent?

Acting as registered agent for your business, we provide a registered office in Colorado for the acceptance of service of process and receiving forms, notices and other documents from the Colorado Secretary of State. Upon receipt of any of those documents, they will be briefly reviewed, scanned and promptly sent to you via e-mail. Electronic delivery is not only faster than mail forwarding, but also enables easy distribution of the document to your managers, officers, employees and advisers as needed. If the original or a hard copy is requested, a postage fee will apply.

Why should you use us as your Registered Agent?

There are many reasons why business owners, even owners of one- or two-person businesses, choose to have us serve as their registered agent.

  • You benefit by having us review the service of process or other documentation received, note the importance of the papers and act accordingly. Often the documents notify you of a lawsuit, and a timely response is required or you could suffer adverse consequences, including large monetary judgments. As your registered agent, we will know the importance and urgency of the papers received.
  • Designating us as your registered agent also ensures private receipt of lawsuits and other legal documents. When a company is served with a service of process, it is often delivered by local law enforcement. Most business owners do not want police officers showing up in front of customers, employees, or neighbors (in the case of home-based businesses), to serve them notice that their company is being sued. Using a third-party registered agent ensures that you will receive any service of process promptly, and privately.
  • Designating us as your agent allows you to freely change your location at any time, without being required to file changes of address with the Colorado Secretary of State each time you move, and provides you with the freedom to travel for business or pleasure without the risk of a default judgment because of a missed lawsuit.
